MySimpleLead Terms of Service

1.1 You must be at least 18 years old and able to form a binding contract to use the Service.

1.2 You represent that you are using the Service for business purposes on behalf of a business entity.

1.3 You agree to provide accurate registration information and to keep your login credentials secure. You are responsible for all activity under your account.

3.1 Pricing. Access is sold on a recurring monthly subscription basis. Current fees are displayed at signup and inside the Dashboard.

3.2 Auto-Renewal. Unless cancelled, your subscription auto-renews each month on the same calendar day, and the payment method on file is charged the applicable fee in U.S. dollars.

3.3 Free Trial. We offer a one-time free trial; when the trial ends, the account downgrades to inactive unless you proactively subscribe.

3.4 No Refunds. All payments are non-refundable, including partial-month periods and unused features.

3.5 Chargebacks. Before initiating a chargeback with your payment provider, you agree to email us at Support@MySimpleLead.com and provide at least 10 business days to resolve the issue.

4.1 Limited License. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service solely for your internal business purposes.

4.2 Prohibited Conduct. You must not (a) resell or sublicense the Service; (b) reverse-engineer, decompile, or attempt to derive the source code; (c) use the Service for unlawful, deceptive, or harmful activities; (d) upload viruses or interfere with networks; (e) access the Service from any country or region embargoed by the United States (see Section 11).

5.1 Ownership. You retain all rights to the data, text, files, and content you input into the Service ("Customer Data").

5.2 License to Us. You grant us a worldwide, royalty-free license to host, process, and transmit Customer Data for the purpose of providing and improving the Service.

5.3 Compliance. You are solely responsible for the legality, integrity, and accuracy of Customer Data. You confirm that none of your Customer Data relates to EU/UK residents or includes special categories of personal data.

7.1 Best-Efforts Uptime. We aim for continuous availability but make no specific uptime guarantee. Planned maintenance and unscheduled outages may occur.

7.2 Support Channels. Standard email support is available at Support@MySimpleLead.com during U.S. business hours.

10.1 DISCLAIMER. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 LIMITATION. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU TO US IN THE 6 MONTHS PRECEDING THE CLAIM OR (B) $100. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR DATA.

13.1 Mandatory Arbitration. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

13.2 Venue; Governing Law. The arbitration will be conducted in Las Vegas, Nevada, using Nevada law without regard to conflict-of-laws principles.

13.3 Class-Action Waiver. You and NocheLabs agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims.

13.4 Injunctive Relief. Either party may seek provisional or injunctive relief in any court of competent jurisdiction for breaches of intellectual-property or confidentiality obligations.

14.1 Term. These Terms remain in effect while you maintain an account or otherwise use the Service.

14.2 Termination by You. You may cancel at any time via the in-app portal; cancellation takes effect at the end of the current billing cycle.

14.3 Termination by Us. We may suspend or terminate your account immediately for material breach, unlawful conduct, non-payment, or to comply with law.

14.4 Effect. Upon termination, your right to access the Service ceases, but Sections 5, 8, 10, 11, 13, and 15 survive.

15.1 Entire Agreement. These Terms, plus the Privacy Policy and any order forms, constitute the entire agreement between the parties and supersede all prior agreements or communications.

15.2 Amendments. We may update these Terms by posting a revised version and updating the "Effective Date." Material changes become effective 30 days after posting. Continued use after that date constitutes acceptance.

15.3 Severability. If any provision is found unenforceable, the remainder will remain in effect.

15.4 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
